1. About us
Smartcode Solutions Limited ("Smartcode", "we", "us", "our") is a company registered in England and Wales. Our registered address is Ground Floor Rear Barn, Brookdale Centre, Manchester Road, Knutsford, WA16 0SR. We provide warehouse management software including Pickscan and related applications ("the Service").
2. Acceptance of terms
By installing or using the Service you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you confirm you have authority to bind that entity.
3. The Service
The Service is provided on a subscription basis. Access is granted for the duration of your active subscription only. We reserve the right to modify, update or discontinue features of the Service at any time, with reasonable notice where changes are material.
4. Account and access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at https://docs.pickscan.app/contact if you suspect unauthorised access.
5. Subscription and payment
Subscription fees are charged in advance on a monthly basis. All fees are exclusive of VAT where applicable. We reserve the right to change pricing with 30 days written notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
6. Cancellation and refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods. On cancellation, your access to the Service will cease at the end of the paid period.
7. Acceptable use
You agree not to misuse the Service, attempt to gain unauthorised access to any part of our systems, reverse engineer the Service, or use the Service in any way that violates applicable law.
8. Data and privacy
Our collection and use of personal data is governed by our Privacy Policy at https://docs.pickscan.app/privacy. By using the Service you consent to such processing.
9. Intellectual property
All intellectual property rights in the Service remain the property of Smartcode Solutions Limited. These Terms do not grant you any rights in our software, trademarks or other intellectual property beyond the limited right to use the Service as described herein.
10. Limitation of liability
To the fullest extent permitted by law, Smartcode shall not be liable for any indirect, incidental, special or consequential losses arising from your use of the Service. Our total liability to you in any twelve-month period shall not exceed the total fees paid by you to us in that period.
11. Availability
We aim to provide a reliable Service but do not guarantee uninterrupted availability. We shall not be liable for losses arising from downtime outside our reasonable control.
12. Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or via the Service. Continued use after changes take effect constitutes acceptance.
